Section 7. Electronic Conferencing
If prior notice has been provided, and if such facilities are available, any member of a Section or Committee, to hear the comments of the Section or Committee members present at the meeting and to speak to those, present at the meeting; and that the members present at the meeting can hear the comments of and speak, to the absent member., full rights to the floor, and shall be entitled to vote at such meeting as if physically present., Section 7. Section 5. Referendum to Entire Membership.

Section 2. Terms of Office.

Section 1. Young Lawyers Division.
The Young Lawyers Division of the State Bar shall be composed of (1) all members of the State Bar who, the State Bar and (2) all members of the State Bar who have been admitted to their first bar less than, of the younger members of the profession, aiding and promoting their advancement and encouraging their, interest and participation in the activities of the State Bar., and Bylaws of the State Bar., Section 1. Section 7. Voters Lists; Distribution of Ballots.
A voters list shall be prepared containing the names of the members qualified to vote in elections, On the date determined according to Section 14 of this Article, all active members in good standing shall, be furnished by regular mail a ballot for the elections in which they are qualified to vote and a return, In lieu of the written ballot described above, a member may vote by a secure electronic ballot which, meets all the requirements for integrity as determined by the Elections Committee., Section 7. The Executive Director shall be nominated and elected by the Board of Governors of the State Bar at its, first meeting of each year., Section 1. Election.
Section 8. Bond.
A blanket fidelity bond shall be obtained to cover all officers, employees, or other persons handling, funds of the State Bar., The bond shall be payable to the State Bar in an amount, not less than $25,000, to be determined by the, Board of Governors., Section 8. Bond.
Section 4. The Immediate Past President.
The Immediate Past President shall: chair the Board of Trustees for the Institute of Continuing, Legal Education; serve as an ex-officio member of the State Disciplinary Review Board and the Commission, by the Board of Governors., Upon the absence, death, resignation, or disability of the Immediate Past President, the next most immediate, past president shall assume the duties of the Immediate Past President., Section 4. Section 1. Generally.
Officers of the State Bar of Georgia shall consist of a President, a President-Elect, an Immediate Past, Officers shall be installed each year during the Annual Meeting and shall take an oath of office administered, The President-Elect shall be sworn in separately from the other officers., The President, Immediate Past President, and the President-Elect of the Young Lawyers Division shall, be ex-officio officers of the State Bar., Section 1. Section 12. Budget.
The Board of Governors shall, at its meeting held in conjunction with the spring meeting, adopt a budget, for the following fiscal year showing the anticipated income and tentative appropriations to cover estimated, expenses of the State Bar, which budget the Board shall have authority from time to time to amend., In no event shall the officers have authority to spend money or incur indebtedness except as provided, for in the budget fixed by the Board., Section 12. Section 10. Powers and Duties.
The government of the State Bar shall be vested in the Board of Governors., The Board shall control and administer the affairs of the State Bar and shall have the power to do all, of the State Bar in keeping with the Rules and these Bylaws., It shall keep a record of its proceedings and shall report at the annual meeting of the members of the, State Bar., Section 10. Section 7. Honorary Members.
All past Presidents of the Georgia Bar Association, all past Presidents of the State Bar, except the, Immediate Past President, and all past Presidents of the Young Lawyers Division of the State Bar shall, be honorary members of the Board of Governors, provided they are members in good standing of the State, a quorum; however, honorary members may nominate or second a member of the Bar to serve as an officer, of the State Bar of Georgia., Section 7. Section 4. Quorum.
A quorum for the transaction of business at any meeting of the members of the State Bar shall consist, of fifty active members in attendance., Section 4. Quorum.
